BY REQUESTING AN ACCOUNT, ACCESSING, OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY BOTH THE TERMS OF SERVICE AND THE PRIVACY POLICY SET FORTH HEREIN. ACCEPTANCE OF TERMS ────────────────────────────────────────── This Agreement is entered into between you ("User," "you," or "your") and Famalot.AI ("Company," "we," "us," or "our"). These Terms govern your access to and use of the Famalot.AI website, platform, software, and all related services (collectively, the "Service"). Your use of the Service constitutes your unconditional acceptance of these Terms and any additional guidelines, policies, or rules posted on the Service, which are incorporated herein by reference. ────────────────────────────────────────── 2. DESCRIPTION OF SERVICE ────────────────────────────────────────── Famalot.AI is a family history and genealogy platform that enables invited members of a family group to organize, store, view, and share photographs, documents, audio recordings, video files, and written family histories. The Service includes, but is not limited to: photograph management and metadata annotation; life history and story generation; artificial intelligence (AI)- assisted tools; FamilySearch integration; document organization; ancestor pedigree charts; and family collaboration tools. Access to the Service is by invitation only. A family account administrator must invite users to join a family group. The Company does not guarantee availability to any individual or family group and reserves the right to accept or deny account requests at its sole discretion. ────────────────────────────────────────── 3. ELIGIBILITY ────────────────────────────────────────── You must be at least thirteen (13) years of age to use the Service. If you are under the age of eighteen (18), you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using the Service, you represent and warrant that you meet all eligibility requirements set forth herein. ────────────────────────────────────────── 4. USER ACCOUNTS AND REGISTRATION ────────────────────────────────────────── 4.1 Account Responsibility. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify the Company immediately of any unauthorized use of your account or any other breach of security. 4.2 Accurate Information. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. The Company reserves the right to suspend or terminate your account if any information provided is found to be inaccurate, misleading, or incomplete. 4.3 Account Transfer. Your account is personal to you and may not be transferred, sold, or assigned to any third party without the prior written consent of the Company. ────────────────────────────────────────── 5. ACCEPTABLE USE ────────────────────────────────────────── You agree to use the Service solely for lawful purposes and in accordance with these Terms. You agree NOT to: (a) upload, store, transmit, or share any content that is unlawful, harmful, defamatory, obscene, invasive of another's privacy, or otherwise objectionable; (b) upload content that infringes any patent, trademark, trade secret, copyright, or other intellectual property right of any third party; (c) upload photographs, documents, or other materials depicting or involving minors in any manner that is exploitative, inappropriate, or in violation of applicable law; (d) use the Service to harass, abuse, threaten, or intimidate any person; (e) attempt to gain unauthorized access to any portion of the Service or any systems or networks connected to the Service; (f) use any automated means, including bots, scrapers, or spiders, to access, collect, or index any portion of the Service; (g) introduce any virus, malware, ransomware, or other harmful code into the Service; (h) use the Service for any commercial purpose or for the benefit of any third party without the express written consent of the Company; (i) impersonate any person or entity or falsely represent your affiliation with any person or entity. ────────────────────────────────────────── 6. CONTENT OWNERSHIP AND LICENSE ────────────────────────────────────────── 6.1 Your Content. You retain all ownership rights to photographs, documents, recordings, written histories, and other materials that you upload to the Service ("User Content"). By uploading User Content, you grant Famalot.AI a non-exclusive, worldwide, royalty-free license to store, host, reproduce, display, and transmit your User Content solely as necessary to provide and operate the Service for your family group. This license terminates when you delete the content or your account is closed. 6.2 No Third-Party Use. The Company does not sell, license, or share your User Content with any third party for advertising, marketing, or commercial purposes. Your family's content is accessible only to members of your authorized family group and to Company personnel who require access for technical support, security, or legal compliance purposes. 6.3 Content Responsibility. You are solely responsible for all User Content you upload. You represent and warrant that you own or have the necessary rights and permissions to upload all User Content and that such content does not violate these Terms or any applicable law. ────────────────────────────────────────── 7. ARTIFICIAL INTELLIGENCE FEATURES ────────────────────────────────────────── 7.1 AI-Assisted Tools. The Service includes optional artificial intelligence tools, including but not limited to AI-assisted life history generation, photograph enhancement, ancestor interviews, and other generative features. These tools are provided as a convenience and for informational and creative purposes only. 7.2 No Guarantee of Accuracy. AI-generated content is produced by automated systems and may contain errors, inaccuracies, or fabricated information. You are solely responsible for reviewing, verifying, and correcting any AI-generated content before relying upon or sharing it. The Company makes no warranty that AI-generated outputs are factually accurate, historically correct, or suitable for any particular purpose. 7.3 Third-Party AI Providers. Certain AI features may be powered by third- party providers, including OpenAI. Use of such features may be subject to the terms and policies of those providers. The Company is not responsible for the data practices or outputs of third-party AI providers. 7.4 Synthetic Media and AI-Generated Likeness Content. Certain Service features permit the creation of AI-generated voice content ("voice cloning") and AI-animated video content ("synthetic video") using photographs and audio samples of real individuals (collectively, "Synthetic Media"). The following conditions apply to all use of these features: (a) Permitted Use Only. Synthetic Media features are provided solely for respectful, non-commercial family memorial and history purposes. Use is limited to individuals who are either (i) deceased, or (ii) living persons who have given you their explicit prior consent to create Synthetic Media using their likeness or voice. (b) Prohibited Uses. You expressly agree NOT to use Synthetic Media features to: (i) depict any person without the authorization described in (a) above; (ii) produce content that is defamatory, harassing, misleading, or harmful to any individual; (iii) impersonate any person for any fraudulent or deceptive purpose; (iv) distribute content in any context where it could reasonably be mistaken for an authentic recording; or (v) use generated content outside the Service for any commercial or deceptive purpose. (c) Watermark Disclosure. All Synthetic Media generated by the Service will bear a persistent visible watermark identifying it as AI-generated and not a real recording. You agree not to remove, obscure, crop, or otherwise circumvent this watermark. Distributing Synthetic Media without this disclosure may constitute a violation of applicable state, federal, or international law. (d) Your Liability. You are solely and personally liable for all Synthetic Media you create using the Service. The Company expressly disclaims all liability for any harm, legal claim, or damage arising from your misuse of Synthetic Media features. Violation of this Section is grounds for immediate account termination without refund. (e) Legal Compliance. You represent and warrant that your use of Synthetic Media features complies with all applicable laws, including without limitation those governing synthetic media, deepfakes, right of publicity, defamation, and non-consensual intimate imagery. ────────────────────────────────────────── 8. SUBSCRIPTION AND PAYMENT ────────────────────────────────────────── 8.1 Payment Plans. Access to the Service is subject to the payment plan selected for your family account. Fees, storage limits, and feature availability vary by plan. The Company reserves the right to modify pricing or plan terms upon reasonable notice to the account administrator. 8.2 Billing. All fees are due and payable in accordance with the billing terms presented at the time of subscription. Failure to pay may result in suspension or termination of the family account. 8.3 No Refunds. Except as required by applicable law, all fees are non- refundable. The Company may, in its sole discretion, provide credits or refunds in exceptional circumstances. ────────────────────────────────────────── 9. DATA BACKUP AND RETENTION ────────────────────────────────────────── 9.1 User Responsibility. While the Company makes reasonable efforts to maintain data integrity and availability, you are responsible for maintaining independent backup copies of all critical User Content. The Company strongly recommends that family account administrators utilize the backup export features provided within the Service on a regular basis. 9.2 Data Retention on Termination. Upon termination or expiration of a family account, the Company may retain User Content for a reasonable period before deletion, as described in Part II (Privacy Policy) of this document. The Company is not liable for any loss of data following account termination. ────────────────────────────────────────── 10. DISCLAIMER OF WARRANTIES ────────────────────────────────────────── THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. ────────────────────────────────────────── 11. LIMITATION OF LIABILITY ────────────────────────────────────────── TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FAMALOT.AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL THE COMPANY'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00). ────────────────────────────────────────── 12. INDEMNIFICATION ────────────────────────────────────────── You agree to indemnify, defend, and hold harmless Famalot.AI and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of any third party. ────────────────────────────────────────── 13. TERMINATION ────────────────────────────────────────── 13.1 By the Company. The Company reserves the right to suspend or terminate your access to the Service at any time, with or without notice, for any reason, including but not limited to a violation of these Terms, non-payment, or conduct that the Company determines is harmful to other users or to the Service. 13.2 By You. You may close your account at any time by contacting the Company or by using the account management tools within the Service. 13.3 Effect of Termination. Upon termination, your right to use the Service immediately ceases. Provisions that by their nature should survive termination shall survive, including Sections 6, 10, 11, 12, and 14. ────────────────────────────────────────── 14. GOVERNING LAW AND DISPUTE RESOLUTION ────────────────────────────────────────── These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Utah, without regard to conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction. The arbitration shall take place in Utah County, Utah. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS- WIDE ARBITRATION. ────────────────────────────────────────── 15. CHANGES TO THESE TERMS ────────────────────────────────────────── The Company reserves the right to modify these Terms at any time. Material changes will be communicated to account administrators via email or a prominent notice within the Service. Your continued use of the Service after the effective date of any modification constitutes your acceptance of the revised Terms. ════════════════════════════════════════════════════════════════════════════════ PART II — PRIVACY POLICY ════════════════════════════════════════════════════════════════════════════════ Famalot.AI ("we," "us," or "our") is committed to protecting the privacy of our users. This Privacy Policy explains what personal information we collect, how we use it, and your rights with respect to that information. By using the Service, you consent to the practices described in this Privacy Policy. ────────────────────────────────────────── 1. INFORMATION WE COLLECT ────────────────────────────────────────── 1.1 Account Registration Information. When you request a family account or register as a user, we collect your name, email address, phone number (optional), postal code (optional), and family name. 1.2 User Content. We store photographs, documents, audio recordings, video files, written histories, stories, and other materials that you or other members of your family group upload to the Service. 1.3 Usage and Log Data. We automatically collect certain technical information when you use the Service, including your IP address, browser type, device information, pages visited, and actions taken within the Service. This information is used for security monitoring, troubleshooting, and service improvement. 1.4 Payment Information. Payment processing is handled by third-party payment processors. We do not store full payment card numbers on our servers. 1.5 AI Interaction Data. If you use AI-assisted features, your prompts and inputs may be transmitted to third-party AI service providers (such as OpenAI) for processing. We do not store the content of AI conversations beyond what is necessary to provide the feature within your session. 1.6 Terms of Service Acceptance. We record the date, time, and IP address at which you accepted these Terms of Service and Privacy Policy. ────────────────────────────────────────── 2. HOW WE USE YOUR INFORMATION ────────────────────────────────────────── We use the information we collect to: (a) create and manage your family account and user profile; (b) provide, maintain, and improve the Service; (c) send you transactional communications, including account invitations, password resets, and service notifications; (d) respond to your inquiries and provide customer support; (e) detect, investigate, and prevent fraudulent, unauthorized, or illegal activity; (f) comply with legal obligations; (g) enforce these Terms of Service. We do NOT use your personal information or User Content for advertising purposes, and we do NOT sell your data to third parties. ────────────────────────────────────────── 3. HOW WE SHARE YOUR INFORMATION ────────────────────────────────────────── 3.1 Within Your Family Group. User Content you upload is shared with other members of your authorized family group as you direct. 3.2 Service Providers. We may share limited personal information with trusted third-party service providers who assist us in operating the Service (e.g., cloud hosting providers, email delivery services, payment processors). These providers are contractually obligated to use your information only as necessary to provide their services to us and in accordance with applicable law. 3.3 AI Providers. When you use AI-assisted features, your inputs are transmitted to third-party AI providers (such as OpenAI) solely to generate the requested output. These providers operate under their own privacy policies. 3.4 Legal Requirements. We may disclose your information if required to do so by law, court order, or governmental authority, or if we believe in good faith that such disclosure is necessary to protect the rights, property, or safety of Famalot.AI, its users, or the public. 3.5 Business Transfers. In the event of a merger, acquisition, or sale of all or substantially all of our assets, your information may be transferred to the acquiring entity. We will notify affected users before their information is subject to a different privacy policy. ────────────────────────────────────────── 4. COOKIES AND TRACKING TECHNOLOGIES ────────────────────────────────────────── The Service uses cookies and similar technologies to maintain your login session and remember your preferences. We do not use third-party advertising cookies or cross-site tracking technologies. You may configure your browser to refuse cookies, but doing so may prevent you from logging in or using certain features of the Service. ────────────────────────────────────────── 5. DATA SECURITY ────────────────────────────────────────── We employ industry-standard technical and organizational measures to protect your personal information and User Content against unauthorized access, loss, alteration, or disclosure, including encrypted data transmission (HTTPS), access controls, and regular security reviews. However, no method of transmission over the Internet or electronic storage is 100% secure. We cannot guarantee absolute security and are not responsible for unauthorized access resulting from your failure to protect your credentials. ────────────────────────────────────────── 6. DATA RETENTION ────────────────────────────────────────── We retain your personal information and User Content for as long as your account is active or as needed to provide the Service. Upon account termination, we may retain your data for a reasonable period (not to exceed 90 days) to allow for recovery before permanent deletion, unless a longer retention period is required by law or for legitimate business purposes such as dispute resolution. ────────────────────────────────────────── 7. CHILDREN'S PRIVACY ────────────────────────────────────────── The Service is not directed to children under the age of thirteen (13). We do not knowingly collect personal information from children under 13 without verifiable parental consent. If you believe we have inadvertently collected such information, please contact us immediately and we will take steps to delete it promptly. ────────────────────────────────────────── 8. YOUR RIGHTS AND CHOICES ────────────────────────────────────────── Subject to applicable law, you may have the right to: (a) Access the personal information we hold about you; (b) Request correction of inaccurate or incomplete information; (c) Request deletion of your personal information, subject to certain legal and contractual limitations; (d) Object to or restrict certain processing of your information; (e) Receive a portable copy of your data.
